Effect of Termination
Termination of your access to the Site shall not terminate or otherwise modify your obligations with respect to any liability or matter arising out of your use of the Site prior to such termination. For the avoidance of doubt, although the representations, warranties, covenants and obligations set forth in these Terms of Service shall only apply during the period you are authorized to access the Site (as set forth therein), termination of your access shall not terminate or otherwise modify DocSpot's rights under these Terms of Service.
DocSpot Content License
Subject to your compliance with these Terms of Service, DocSpot grants you a limited, non-exclusive, non-transferable, non-assignable license to access the Site for your personal and non-commercial purposes (if you are using the Site in conjunction with a professional subscription, you may use this Site for professional purposes). You may not use, reverse engineer, copy, adapt, modify, prepare derivative works based upon, distribute, license, sell, transfer, publicly display, publicly perform, transmit, stream, broadcast or otherwise exploit this Site, except as expressly permitted in these Terms of Service.
No licenses or rights are granted to you by implication or otherwise under any intellectual property rights owned or controlled by DocSpot or its licensors, except for the licenses and rights expressly granted in these Terms of Service. Other trademarks, service marks, logos, trade names and any other proprietary designations are the trademarks or registered trademarks of their respective parties. User-submitted content
Users may submit information to the Site ("User Content"). By submitting User Content, you grant to DocSpot a worldwide, irrevocable, perpetual, non-exclusive, transferable, royalty-free license, with the right to sublicense, to use, copy, adapt, modify, distribute, license, sell, transfer, publicly display, publicly perform, transmit, stream, broadcast and otherwise use such User Content. You acknowledge and agree that you are solely responsible for all User Content that you make available through the Site. Accordingly, for all content that you submit, you represent and warrant that: (i) you have all necessary legal rights to submit that User Content; (ii) you believe all User Content that you post is either factually true or a true reflection of your opinion; and (iii) the User Content that you post is neither offensive nor inappropriately graphic. If you are submitting a review, DocSpot advises you to exercise caution and good judgment since you could be held legally responsible for damages to someone's reputation if your review is deemed to be defamatory.
You may submit feedback through the contact form and if you do, you agree that we may use your feedback or suggestions without any obligation to you. If you submit your e-mail address to the Site, you agree that we may contact you.

DOCSPOT MAKES NO WARRANTY THAT THE SITE, OR USER CONTENT WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS. DOCSPOT MAKES NO WARRANTY REGARDING THE QUALITY OF ANY PRODUCTS, SERVICES OR CONTENT PURCHASED OR OBTAINED THROUGH THE SITE OR THE ACCURACY, TIMELINESS, TRUTHFULNESS, COMPLETENESS OR RELIABILITY OF ANY CONTENT OBTAINED THROUGH THE SITE. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM DOCSPOT OR THROUGH THE SITE, OR USER CONTENT, WILL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN.
YOU ACKNOWLEDGE AND AGREE THAT, TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE ENTIRE RISK ARISING OUT OF YOUR ACCESS TO AND USE OF THE SITE THEREIN REMAINS WITH YOU. WHERE ALLOWED BY LAW, IN NO EVENT WILL DOCSPOT'S AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OF SERVICE OR FROM THE USE OF OR INABILITY TO USE THE SITE, SERVICES OR CONTENT THEREIN EXCEED ONE HUNDRED U.S. DOLLARS ($100).
Indemnity
You agree to defend, indemnify, and hold DocSpot, its officers, directors, employees, and agents harmless from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting expenses, arising out of or in any way connected with User Content you submit to DocSpot, your access to or use of the Site, or your violation of these Terms of Service.
General
If we do not enforce any right or provision of these Terms of Service, that does not constitute a waiver of future enforcement of that right or provision.
These Terms of Service and any action related thereto will be governed by the laws of the State of California without regard to its conflict of laws provisions. The exclusive jurisdiction and venue of any action with respect to the subject matter of these Terms of Service will be the state and federal courts having jurisdiction over disputes arising in Santa Clara County, California, and each of the parties hereto waives any objection to jurisdiction and venue in such courts.
Changes to the Terms of Service
DocSpot may update these Terms of Service from time to time. The date at the top of this document indicates when it was last updated. If we do make significant changes to these Terms of Service, we will give you notice by posting a prominent notice on the Site.
We encourage you to review these Terms of Service periodically and to review any revisions. Upon our posting of such a notice on the Site, you will be bound to the revised version of these Terms.
